Agreement to our Legal Terms

We are Acrosolve ("Company", "we", "us", "our"), a sole proprietorship registered in the Netherlands.

We operate the website acrosolve.com, including any subdomains (such as the Client Portal), and provide AI automation and workflow optimization services to B2B service businesses (collectively, the "Services").

These Legal Terms constitute a legally binding agreement between you ("you") and Acrosolve, concerning your access to and use of the Services. By accessing the Services, you agree to be bound by these Legal Terms. If you do not agree, you must discontinue use immediately.

We may update these Legal Terms from time to time. Changes take effect when posted with an updated "Last updated" date. Continued use of the Services after changes constitutes acceptance.

The Services are intended for business professionals aged 18 and over.

1. Our Services

Acrosolve provides AI automation consulting, workflow optimization, and operational efficiency solutions for B2B service businesses. Our Services include:

  • AI readiness assessments and strategy consulting
  • Custom automation system design and implementation
  • The Client Portal for project collaboration and deliverable access
  • Educational content and insights published on our website

Specific project scope, deliverables, timelines, and fees are governed by individual project agreements or statements of work signed between you and Acrosolve. In the event of a conflict between these Legal Terms and a signed project agreement, the project agreement prevails.

2. Intellectual Property Rights

Our intellectual property

We own or license all intellectual property in our Services, including source code, designs, text, graphics, and logos (the "Content" and "Marks"). Our Content and Marks are protected by copyright and trademark laws in the Netherlands and internationally.

The Content is provided "AS IS" for your personal or internal business use only. No part of the Services may be copied, reproduced, distributed, or commercially exploited without our prior written permission.

Your submissions

By sending us feedback, suggestions, or ideas about the Services, you assign all intellectual property rights in those submissions to us. We may use them freely without compensation.

Client deliverables

Ownership of deliverables created under a project agreement (e.g., custom automations, workflows, documentation) is governed by the terms of that specific agreement.

3. User Accounts

Access to certain Services, such as the Client Portal, requires you to create an account. When you register, you agree to:

  • Provide accurate and complete registration information
  • Keep your password confidential and secure
  • Be responsible for all activity under your account
  • Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these terms or remain inactive for an extended period.

4. Purchases and Payment

We accept payments via bank transfer, Stripe, and PayPal. All fees are quoted and payable in Euros (EUR) unless otherwise agreed in a project agreement.

You agree to provide accurate payment information. We reserve the right to correct pricing errors, even after payment has been received. Specific payment schedules and terms are defined in individual project agreements.

5. Refunds

Refund terms are specified in individual project agreements. Where no specific refund terms are agreed, refunds are provided at our discretion.

6. Confidentiality

In the course of providing our Services, both parties may share confidential business information. Each party agrees to:

  • Keep confidential information private and not disclose it to third parties without prior written consent
  • Use confidential information only for the purpose of the engagement
  • Take reasonable measures to protect confidential information

This obligation survives termination of the engagement. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

Where a more detailed confidentiality agreement or NDA is signed, those terms prevail.

7. AI and Automation Disclaimer

Our Services involve the design and implementation of AI-powered automation systems. While we take every reasonable measure to ensure accuracy and reliability:

  • AI systems may produce unexpected outputs and require ongoing monitoring
  • We do not guarantee that automated systems will be error-free or achieve specific business outcomes
  • You are responsible for reviewing and validating AI-generated outputs before acting on them
  • We provide guidance and support, but final business decisions remain yours

8. Prohibited Activities

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorized access to the Services or other users' accounts
  • Interfere with or disrupt the Services or their infrastructure
  • Scrape, crawl, or extract data from the Services using automated tools without permission
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Misrepresent your identity or affiliation with Acrosolve
  • Use the Services to compete directly with Acrosolve

9. Third-Party Websites and Content

Our Services may link to third-party websites or integrate with third-party tools. We are not responsible for their content, privacy practices, or availability. Use of third-party services is at your own risk and subject to their own terms.

10. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy, which is incorporated into these Legal Terms. By using the Services, you agree to the collection and use of information as described in our Privacy Policy.

11. Term and Termination

These Legal Terms remain in effect while you use the Services. We may suspend or terminate your access at any time, without notice, for any violation of these terms or applicable law.

Termination of specific project engagements is governed by the applicable project agreement.

12. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ACROSOLVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

Nothing in these terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify and hold Acrosolve harmless from any claims, damages, or expenses arising from: (1) your use of the Services; (2) your breach of these Legal Terms; (3) your violation of any third-party rights; or (4) your violation of applicable law.

15. Governing Law

These Legal Terms are governed by the laws of the Netherlands. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

If you are an EU consumer, you additionally retain the protection of mandatory provisions of the law of your country of residence. Both parties submit to the non-exclusive jurisdiction of the courts of The Hague.

16. Dispute Resolution

We encourage you to contact us first at contact@acrosolve.com to resolve any dispute informally.

The European Commission provides an online dispute resolution platform for EU consumers.

17. Miscellaneous

These Legal Terms, together with our Privacy Policy and any signed project agreements, constitute the entire agreement between you and Acrosolve. If any provision is found to be unenforceable, the remaining provisions remain in full force. Our failure to enforce any right does not constitute a waiver. We may assign our rights and obligations under these terms at any time.
